Thank you for considering the Profitable Pilates affiliate program. Our affiliates are very important to us. This agreement is designed with you in mind, as well as to protect you, Profitable Pilates LLC, and our customers. Please read thoroughly. Affiliate Agreement
This “Agreement” describes the terms and conditions for participation in the Profitable Pilates affiliate program. In this Agreement, the term "Affiliate" refers to you (the applicant). In this Agreement, “Profitable Pilates” or “PP” refers to Profitable Pilates LLC., a Nevada corporation, with whom you are entering this agreement. By applying to the Profitable Pilates Affiliate Program you are confirming that you have read the Agreement and agree to the terms and conditions.

Affiliate Programs
There are two types of Affiliate programs with Profitable Pilates: one-time and recurring.

Commissions
Commissions will only be paid on sales that are made when a new customer clicks through qualified, correctly structured Affiliate links. Properly coded links are the sole responsibility of the Affiliate and can be found in the Affiliate’s individual affiliate portal. 

To generate a commission to an Affiliate, a new customer must complete the order form and remit full payment for their subscription to Profitable Pilates. 

Commissions can be viewed on the Affiliate Dashboard, described below.

If the Affiliate is on a one-time payment option, they will receive a commission for each new signup.

If the Affiliate is on a recurring payment schedule, they will continue to accumulate commissions for each paid transaction by the customer for as long as the customer remains a paying customer.

If the customer is already an PP member (meaning they have an PP username already created on the site) and not a new customer, no commissions will be awarded, even if the customer clicks an Affiliate link. There is one exception to this. See below.

Affiliates cannot use their own affiliate link to generate commissions from their own purchases.

Payment
Affiliates will earn the following commissions:

– 10% for each transaction from new customers who signed up using Affiliate’s link for one-time membership payments.
– 10% for each transaction from new customers who signed up using Affiliate’s link for one-time product payments.
– 10% for each transaction from new customers who signed up using Affiliate’s link for recurring membership payments.

Note that payment processing can take up to 30 days from the request date. Payments will generally be paid out via PayPal. 

If the Affiliate has earned a commission on a transaction, but the customer later requests a refund, a charge back occurs, or the transaction is deemed fraudulent, the commission earned for that transaction will be deducted from the Affiliate’s balance. 

 
Affiliate Dashboard

Affiliates can log into their profile on PP and view their Affiliate Dashboard. Here they can track clients and referred clients, and see potential payouts. Affiliates can also access various marketing resources (see below) to aid in their promotion of PP and the Mat and Reformer workout subscriptions. 

Usage and Obligations
Affiliates are permitted to use PP brand and marketing resources available in the “Marketing Materials” section of the Affiliate Dashboard. The logos and other assets available cannot be modified from their original form in any way. 

PP grants the Affiliate a limited, nonexclusive, nontransferable, nonsublicensable right to maintain a link on Affiliate’s website, social media and other branded content, in accordance with the terms of this Agreement. PP also grants Affiliate a limited, nonexclusive, nontransferable, nonsublicensable, license to use certain PP trade names, trademarks, service marks, logos and other intellectual property used by PP in identifying its business for the sole purpose of selling PP's workout subscriptions. PP will provide the Affiliate all intellectual property and marks directly and reserves all proprietary rights to the marks and may immediately revoke or adjust Affiliate’s license at any time upon written notice. 

In the event that Affiliate uses the trademark, trade name, service marks, or logos of PP, except as expressly approved by this Agreement, or Affiliate creates, publishes, distributes or permits any written material that refers to PP without first obtaining written consent, PP may, without limiting other forms of recourse, terminate the Affiliate’s status immediately. 

Relationship 

Nothing in this Agreement creates any employment, independent contractor or agency relationship between PP and Affiliate. Neither party may enter into contracts, assume or create any liability or make agreements of any kind for, in the name of, or on behalf of, the other party. 

The Affiliate will never imply that they are acting on behalf of Profitable Pilates and will never advertise Profitable Pilates products directly through direct response or pay per click advertising. The Affiliate will never bid for advertisements that compete with Profitable Pilates. 

The Affiliate will never represent themselves, Profitable Pilates or their relationship with Profitable Pilates in a false or misleading way.

The Affiliate will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing Profitable Pilates.

Term and Termination

Either party may terminate this Agreement immediately without prior notice. 

If the Affiliate terminates the agreement, no further commissions from Profitable Pilates will be paid for any past or future customer transactions.

If Profitable Pilates chooses to terminate the agreement, any balance greater than $20 USD will be paid to the affiliate within 60 days of termination. Balances that are smaller than $20 will be forfeited.


PP reserves the right to cancel this Agreement at any time, and without prior notice, if the Affiliate violates the terms of this Agreement, improperly uses the Profitable Pilates name, logo, graphics or other intellectual property (notwithstanding the license provided in this Agreement), or includes a link to the Profitable Pilates website in any form of unsolicited communication such as spam. 

Following the termination of this Agreement, all licenses granted under this Agreement will instantly terminate unless they are expressly stated as surviving. The parties shall immediately remove all marks of the other party from any website, newsletter, social media or media that party controls. Profitable Pilates will pay the Affiliate any outstanding commissions owed to the Affiliate for subscribers obtained before the effective date of termination within 30 days of termination.

If the Affiliate is on a recurring program, Profitable Pilates will not be obligated for any future payments after termination. 

Governing Law
This Agreement shall be construed, interpreted, and governed by the laws of the State of Nevada, except that the Agreement shall not be interpreted against any party as the drafter of the Agreement under Civil Code Section 1654

Arbitration
Any controversies arising out of this Agreement or its interpretation shall be settled by binding arbitration to be conducted in Los Angeles County, California before and in accordance with the Arbitration rules of ADR Services, Inc., or Judicial Arbitration and Mediation Services (JAMS), as selected by the person commencing the arbitration, and a judgment upon the award may be entered in any court having jurisdiction thereof.  The arbitration award shall include an award of attorneys' fees and costs incurred by the prevailing party in connection with said proceeding.

Modification
We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available commissions, commission schedules, payment procedures and Affiliate Program rules.

Affiliate means an entity that controls, is controlled by or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.
Account means a unique account created for You to access our Service or parts of our Service.
Website refers to OnlinePilatesClasses.com, accessible from https://onlinepilatesclasses.com
Service refers to the Website.
Country refers to: Nevada, United States
Service Provider means any natural or legal person who processes the data on behalf of the Company. It refers to third-party companies or individuals employed by the Company to facilitate the Service, to provide the Service on behalf of the Company, to perform services related to the Service or to assist the Company in analyzing how the Service is used. For the purpose of the GDPR, Service Providers are considered Data Processors.
Third-party Social Media Service refers to any website or any social network website through which a User can log in or create an account to use the Service.
Facebook Fan Page is a public profile named Profitable Pilates specifically created by the Company on the Facebook social network, accessible from https://www.facebook.com/onlinepilatesclasses
Personal Data is any information that relates to an identified or identifiable individual. For the purposes for GDPR, Personal Data means any information relating to You such as a name, an identification number, location data, online identifier or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity.
